1. Definitions

• "Publisher" or "Affiliate": Individual or entity promoting offers through the network
• "Advertiser": Individual or entity providing offers to be promoted
• "Offer": An advertising campaign available on the platform
• "Conversion": A qualifying action (sale, lead, install, etc.) tracked by the platform
• "Commission": Payment earned by publishers for valid conversions
• "We," "Us," "Our": octomarket and its operators

2. Account Registration

Eligibility

To use octomarket, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be located in a prohibited jurisdiction
• Comply with all applicable laws and regulations

Account Creation

• One account per individual or entity
• You are responsible for maintaining account security
• Accounts are non-transferable
• We reserve the right to verify your identity
• Fake or fraudulent accounts will be terminated immediately

Account Approval

• All accounts are subject to approval
• We may request additional verification documents
• Approval is at our sole discretion
• We may reject applications without providing reasons

3. Publisher Terms

Promotional Methods

Publishers must comply with the following:

Allowed Methods:

• Legitimate websites and blogs
• Social media marketing (with platform compliance)
• Email marketing to opt-in lists
• Paid advertising (Google Ads, Facebook Ads, etc.)
• Content marketing and SEO
• Mobile app promotion

Prohibited Methods:

• Spam: Unsolicited emails, messages, or comments
• Fraudulent Traffic: Bots, click farms, incentivized clicks, fake leads
• Trademark Bidding: Bidding on advertiser brand names (unless authorized)
• Cookie Stuffing: Placing cookies without user action
• Misleading Content: False claims or deceptive advertising
• Adult/Illegal Content: Promotion through prohibited content (unless approved)
• Toolbar/Software: Automatic redirects or forced actions
• Domain Squatting: Using typo or brand-similar domains

Traffic Quality

All traffic must be:

• Real human visitors (no bots or automated traffic)
• Genuinely interested in the offer
• From legitimate sources
• Compliant with offer-specific requirements

Tracking & Reporting

• You must use provided tracking links
• Do not modify or manipulate tracking parameters
• Report discrepancies within 7 days
• Conversions are tracked according to advertiser specifications

4. Payments

Payment Terms

• Payment Schedule: Weekly or monthly (NET-7, NET-14, or NET-30 depending on offer)
• Minimum Payout: $100 USD (may vary by payment method)
• Payment Methods: Bank transfer, PayPal, cryptocurrency, wire transfer
• Processing Time: 3-7 business days after payment date
• Currency: Payments in USD (conversion fees may apply)

Payment Conditions

• Payments are made only for valid conversions
• Advertisers have the right to reject fraudulent or invalid conversions
• Chargebacks and refunds may be deducted from future payments
• Payment details must be accurate (we're not responsible for incorrect information)
• You are responsible for applicable taxes

Holds & Delays

We may hold or delay payments if:

• Suspicious or fraudulent activity is detected
• Account verification is incomplete
• Investigation is ongoing
• Advertiser payment is pending
• Legal or regulatory requirements necessitate

5. Commission Structure

• Commissions are determined per offer
• Rates may be negotiated based on performance
• We reserve the right to adjust commission rates with notice
• Special bonuses and incentives may be offered
• Recurring commissions apply where specified

6. Conversion Validation

Conversions may be rejected for:

• Fraudulent or low-quality leads/sales
• Duplicate conversions
• Returns, refunds, or chargebacks
• Non-compliance with offer requirements
• Traffic from prohibited sources
• Advertiser discretion (within reasonable limits)

7. Intellectual Property

Platform Content

• All platform content, logos, and designs are our property
• You may not copy, modify, or distribute platform materials
• Limited license granted for promotional purposes only

Marketing Materials

• Advertisers retain ownership of their marketing materials
• You may use provided creatives according to offer terms
• Unauthorized modification of creatives is prohibited
• You must remove materials upon termination

8. Confidentiality

You agree to keep confidential:

• Commission rates and payment terms
• Advertiser information and contacts
• Platform performance data
• Proprietary tracking technology
• Any non-public information shared

9. Non-Circumvention

• Publishers may not contact advertisers directly without permission
• All business must be conducted through the platform
• Attempting to bypass the network results in immediate termination
• Legal action may be taken for circumvention

10. Account Termination

Termination by You

• You may close your account at any time
• Unpaid commissions will be paid according to schedule
• You must cease using all tracking links and materials

Termination by Us

We may suspend or terminate your account for:

• Violation of these Terms and Conditions
• Fraudulent activity or suspicious behavior
• Poor traffic quality
• Non-compliance with offer terms
• Inactivity (6+ months)
• Any reason at our sole discretion (with notice when possible)

Effects of Termination

• Access to platform will be revoked
• Unpaid commissions may be forfeited if termination is for fraud
• Confidentiality obligations continue indefinitely
• You must cease all promotional activities

11. Liability & Warranties

Platform "As-Is"

• The platform is provided "as-is" without warranties
• We do not guarantee uninterrupted service
• We are not responsible for third-party services
• Tracking accuracy is not guaranteed 100%

Limitation of Liability

• We are not liable for lost profits or indirect damages
• Total liability is limited to amounts paid to you in the last 3 months
• We are not responsible for advertiser actions
• You use the platform at your own risk

Indemnification

You agree to indemnify octomarket against:

• Claims arising from your promotional methods
• Violations of these terms
• Infringement of third-party rights
• Fraud or illegal activities

12. Compliance

Legal Compliance

You must comply with all applicable laws including:

• GDPR and data protection regulations
• CAN-SPAM Act and anti-spam laws
• FTC disclosure requirements
• Advertising standards and regulations
• Tax laws and reporting requirements

Disclosures

• You must disclose affiliate relationships where required
• Use proper disclaimers and disclosures
• Comply with platform-specific advertising policies

13. Dispute Resolution

Resolution Process

2. Investigation: We will investigate within 14 business days
3. Decision: Our decision on tracking/payment disputes is final
4. Arbitration: Formal disputes subject to binding arbitration

Arbitration Clause

• Disputes resolved through binding arbitration
• Arbitration conducted in English
• Each party bears their own costs
• Class action lawsuits are waived

14. Modifications

We reserve the right to modify these Terms and Conditions at any time:

• Changes will be posted on this page with updated date
• Significant changes will be communicated via email
• Continued use after changes constitutes acceptance

15. Governing Law
